Welcome to the Nature’s Registry (the “Program”). By accessing and using our website (the “Site”) and participating in the Program, you (“you” or “Participant”) agree to be bound by these Terms and Conditions (the “Terms”). Please read them carefully.
1. Acceptance of Terms
By accessing the Site and/or participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access the Site or participate in the Program.
2. Program Description
The Program facilitates the generation, registration, transfer, and retirement of carbon credits from eligible projects. These credits represent a specific amount of avoided or removed greenhouse gas emissions. Participation in the Program involves adherence to our established methodologies, verification processes, and registry rules.
3. Access to Project Development Documents
As part of our commitment to transparency and stakeholder engagement, the Program provides access to certain project development documents (the “Documents”) on the Site. These Documents may include project proposals, methodologies applied, monitoring plans, verification reports, and other relevant information pertaining to registered projects.
4. Permitted Use of Project Development Documents
Access to the Documents is granted solely for the following limited purposes:
- Informational Purposes: To learn about the details, methodologies, and impact of specific carbon offset projects registered under the Program.
- Confirmation of Project Validity: To independently review and assess the legitimacy and adherence to Program standards of registered projects.
5. Prohibited Use of Project Development Documents
You are strictly prohibited from using the Documents for any purpose other than those explicitly stated in Section 4. This includes, but is not limited to:
- Marketing and Sales Activities: Using the Documents or any information derived therefrom to promote or sell goods, services, or other carbon credits not directly associated with your verified participation within this Program.
- Reporting Purposes Outside the Program: Utilizing the data or information contained in the Documents for external reporting, sustainability claims, or any public disclosure without the express written consent of Nature’s Registry and the relevant project developer.
- Competitive Analysis: Using the Documents to gain an unfair competitive advantage or to develop competing programs or methodologies.
- Commercial Exploitation: Selling, licensing, distributing, or otherwise commercially exploiting the Documents or any information contained therein.
- Any Other Use Not Directly Related to Information and Validation: Engaging in any activity that goes beyond the scope of informational review and confirmation of project validity.
6. Intellectual Property
All intellectual property rights in and to the Site, the Program, and the Documents (including but not limited to copyrights, trademarks, and database rights) are owned by Nature’s Registry or its licensors. Your access to the Documents does not grant you any license or right to use, reproduce, or modify them in any manner other than as expressly permitted herein.
7. Data Privacy
Any personal data collected through your use of the Site or participation in the Program will be handled in accordance with our Privacy Policy, which is incorporated by reference into these Terms.
8. Disclaimer of Warranties
The Program and the Documents are provided on an “as is” and “as available” basis without any warranties of any kind, express or implied, including but not limited to warranties of accuracy, completeness, reliability, suitability, or fitness for a particular purpose. Nature’s Registry does not guarantee the accuracy or completeness of the Documents and shall not be liable for any errors or omissions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Nature’s Registry shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in any way connected with your access to or use of the Site, the Program, or the Documents, including but not limited to damages for loss of profits, data, use, goodwill, or other intangible losses.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nature’s Registry, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your misuse of the Documents, or your violation of any applicable law or regulation.
11. Termination
Nature’s Registry reserves the right to suspend or terminate your access to the Site and/or your participation in the Program at any time, with or without cause and without prior notice, including if we believe you have violated these Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Program shall be exclusively resolved in the state or federal courts located in Dane County, Wisconsin. You consent to the personal jurisdiction of such courts.
13. Modifications to the Terms
Nature’s Registry reserves the right to modify these Terms at any time by posting the revised Terms on the Site. Your continued access to the Site or participation in the Program after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for updates.
14. Entire Agreement
These Terms constitute the entire agreement between you and Nature’s Registry with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
